These Terms & Conditions ("Terms") govern your use of the website FreshtiqAutomation.in and the services provided by FRESHTIQ INNOVATIONS (OPC) PRIVATE LIMITED (Brand: Freshtiq Automation). By accessing our website or engaging our services, you agree to be bound by these Terms.

1. Definitions

  • "Company", "We", "Us", "Our" refers to FRESHTIQ INNOVATIONS (OPC) PRIVATE LIMITED.
  • "Client", "You", "Your" refers to the person or entity using our services.
  • "Services" refers to all digital solutions offered including website development, app development, AI bots, ERP, CRM, automation, and related work.

2. Project Scope & Agreement

Each project will have a clearly defined scope of work, deliverables, timeline, and payment terms. Any work outside the agreed scope will be charged separately. Changes to scope must be agreed in writing by both parties.

3. Payments

Payments shall be made as per the agreed payment schedule. Advance payment is required before work commences unless otherwise agreed. All payments are to be made to the bank account or UPI ID provided by the Company. Late payments may result in project suspension.

4. Delivery & Timeline

We strive to deliver all projects within the agreed timeline. However, delays caused by client-side factors (delayed feedback, incomplete requirements, unavailability) will extend the timeline proportionally. We are not liable for delays caused by third-party services or force majeure events.

5. Intellectual Property

Upon full payment, the Client receives full ownership of the final deliverables (source code, design files, etc.). The Company retains the right to display the work in its portfolio. Open-source components used in the project remain under their original licenses.

Any pre-existing intellectual property of the Company (frameworks, libraries, tools) remains the property of the Company.

6. Confidentiality

Both parties agree to keep confidential all non-public information shared during the project. This obligation survives termination of the agreement.

7. Support & Maintenance

Post-delivery support is provided as per the agreed plan (typically 1-6 months). Beyond the support period, maintenance can be provided at additional cost. Support includes bug fixes and minor updates; major feature additions are billed separately.

8. Limitation of Liability

The Company's total liability for any claim arising from the services shall not exceed the total amount paid by the Client for the specific project giving rise to the claim. The Company shall not be liable for any indirect, incidental, special, or consequential damages including loss of profits, data, or business interruption.

9. Termination

Either party may terminate the agreement with written notice. In case of termination by the Client, payments made for work already completed are non-refundable. The Company may terminate the agreement if the Client breaches any terms.

10. Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts in Azamgarh, Uttar Pradesh.

11. Changes to Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated revision date. Continued use of our services after changes constitutes acceptance of the new Terms.
